This is a fantastic opportunity for an experienced Assistant Company Secretary to work for an established family-owned agricultural business well known for having leading products and service in their industry and to prioritise customer needs and animal health. Now in its 160th year and fifth generation of family ownership the business remains vibrant and dynamic with sites in the south east but a national and international client base, exporting their products to 25 countries in Europe and Middle East. The business has a wide range of activities including manufacturing, distribution, research and development, international sales and marketing teams and own retail shops. Despite the wide range of activities, the business operates with a small and dynamic senior management team and are looking for an experienced and professional company secretary to work alongside to provide first class Company Secretarial admin support to the Chairman, Board Members and Senior management team. The company has a wide range of efficiency projects within their operational teams and has plans for growth with large scope for your involvement in these projects. Applications should not be limited solely to company secretary experience and could be drawn from accounting or legal backgrounds but will need to have had commercial experience rather than just in practice. The role will be to provide first class Company Secretarial admin support to the Chairman, Board Members and Senior management team. This varied role will include but not limited to: Company secretarial administrative duties which will include board meetings and minutes for several companies, maintenance of statutory books and webfiling on companies’ house Maintaining staff contracts and personnel files including all disciplinary and grievance documentation, appraisal administration and reporting on absence, holidays and sickness, staff handbooks, new starters and ensuring all managers are fully trained in HR practices and liaison with 3rd party professional support as necessary Annual renewal of all insurance policies within the group including review of cover levels and submission of data estimates and reporting of changes as they occur in the business and claims handling Maintain company admin including investment records, property management, dividends and shareholder communications and meetings Assist in the drafting and review of company contracts, documents and manage company intellectual property admin and T&Cs of sale Additional responsibilities will include review and renewal of company memberships and licences and company returns such as waste packaging levy. Ensuring GDPR and information housekeeping is maintained in a physical and digital format across the business and is full compliant Support directors in procuring professional services from consultants including research, meeting, and agreeing terms and conditions and contracts You will have relevant experience in a Company Secretarial administrative/corporate governance role in a large business and looking to move to a smaller family business in a more hands on role, supporting senior management on all Company secretarial admin duties. It is essential you have attention to detail and strong administrative knowledge of company law, and corporate governance, maintaining a high level of confidentiality at all times.
